I want to get an LLC., transferred onto my name in IL which was originally created in state of WA. This LLC was formed a couple of years ago and my relative is the sole proprieter and he is willing to transfer it away as he doesnt have any interest in the proposed business.
I cannot get it registered again in my name applying for LLC formation as the name of the company "say xyz" is already in use and I have invested a lot of time and effort in forming the necessary business documentation etc., with the same name "XYZ" Now, that I have a potential business opportunity I do not want to burden my relative with all the legal documentation...so what can I do to own it right away with the consent of my relative (and he is willing to transfer all his legal rights) Please advise asap. thanks ss |

Here is the site for LLC forms in IL. I doubt you can use the same name as there is already one in IL. But you should contact the secretary of states office.

Thanks for all your help in advance. I am in a situation where I definitely need some serious advise.
My application to form an LLC was rejected as the Name I need say "XaYeZ" is similar to the one already existing in IL "XAYeeZ". Since the name I need is already registered to my relative in WASHINGTON state, I am assuming that the FED ID is accepted and I do have the legal FED-ID# Now, I need to get it transferred over to IL completely with consent of the current owner. If I apply for the same name say "XayeZ" in IL. How will they maintain FED ID uniqueness...Doesn't the FED ID have the conflicting name?
also, how do I get the sole proprietership transferred to my name? Please read above for clarity if needed... thanks Sunny |
